Terms and Conditions for Website Creation and Customization Services 1. Scope of Application These Terms and Conditions ("Terms") govern all agreements between [Your Company Name] ("Service Provider") and its clients ("Client") regarding the creation, customization, and delivery of websites based on pre-existing web frameworks and content management systems. 2. Services Provided The Service Provider offers the design, development, and customization of websites, delivering a functional online platform based on the specifications agreed upon with the Client. The final website includes features such as user registration, content posting, voting mechanisms, sharing functionalities, comment sections, and profile management, as agreed in the project outline. 3. Third-Party Components The website may incorporate third-party frameworks, plugins, and pre-existing software solutions. The Service Provider ensures proper integration but does not claim ownership of any third-party components used. The Client acknowledges that future updates, performance, or compatibility of third-party components are beyond the Service Provider’s control. 4. Delivery and Acceptance Upon project completion, the website will be delivered to the Client for review. The Client must report any defects or deviations within 7 calendar days after delivery. If no report is made, the website shall be deemed accepted. 5. Payment Terms Unless otherwise agreed, payments shall be structured as follows: 50% of the total project fee due upon signing of the contract, 50% due upon project completion and delivery. All prices are exclusive of applicable taxes. Delayed payments may incur statutory interest. 6. Warranty and Liability The Service Provider warrants the proper execution of services with industry-standard care. However, the Service Provider is not liable for: Bugs, vulnerabilities, or security flaws inherent in third-party components, Future incompatibilities due to system updates, Content posted by the Client or its users, Loss of data caused by external factors. Total liability is limited to the amount paid by the Client for the delivered services. 7. Rights of Use Upon full payment, the Client receives the non-exclusive, non-transferable right to use the delivered website for its intended purpose. Ownership of third-party software, frameworks, or plugins remains with the respective licensors. 8. Maintenance and Updates Ongoing maintenance, security updates, or functionality extensions are not included unless explicitly agreed upon in a separate maintenance agreement. 9. Confidentiality Both parties agree to treat all information disclosed in the course of the project as confidential unless disclosure is required by law. 10. Termination Both parties may terminate the contract for material breach, provided that the breaching party does not cure the breach within 14 days of receiving written notice. 11.
